Terms of Service

These Terms of Service ("Terms") govern your access to and use of the UhuruPMS property management software platform ("Service"), operated by Zanziholics Digital Agency Company Limited ("Zanziholics", "we", "us"). By creating an account, accessing the Service, or signing up for a free trial, you accept these Terms and agree to be bound by them.

UhuruPMS is a multi-tenant Software-as-a-Service property management system designed for hotels, resorts and accommodation providers in Zanzibar and the wider East African region. Core functionality includes reservations management, room inventory, guest records, maintenance tracking, payment recording, and native integration with the Zanzibar Revenue Authority Virtual Fiscal Management System ("ZRA VFMS") for the issuance of fiscal receipts.

The Service is delivered over the public internet from European Tier-3 data centers and is accessed through a web browser at app.uhurupms.app or through subdomains assigned to each tenant.

3. Eligibility & Account

You must be a legally registered hotel, lodge, guesthouse, restaurant, or hospitality entity (or an authorised representative thereof) located in the United Republic of Tanzania to use the Service. By signing up you confirm that you have authority to bind the entity you represent and that the information you supply during account creation is accurate and complete.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Free Trial

New tenants receive a 30-day free trial of the Service with no credit card required. During the trial you have full access to the features of the plan you selected at signup. At the end of the trial period, continued use of the Service requires an active paid subscription. You may cancel at any time before the end of the trial without obligation.

5. Subscription, Pricing & Billing

After the trial, the Service is provided under a monthly subscription. Pricing for each plan (Mwanzo, Biashara, Hoteli+Ubora) is published at uhurupms.app and may be updated from time to time. We will give existing tenants no less than 30 days' notice of any price increase, which will take effect at the start of the next billing cycle following the notice period.

Setup fees, where applicable, are charged once at the time of provisioning and are non-refundable. Subscription fees are billed in advance on a calendar-month basis or on the anniversary of provisioning, depending on the plan.

Payments may be made by Pesapal, DPO, Stripe (where available), bank transfer to our CRDB Bank account, or any other method we expressly accept in writing. Late payments accrue at 1% per month or the maximum permitted by Zanzibar law, whichever is lower.

6. Cancellation & Refunds

You may cancel your subscription at any time from within your account or by writing to build@uhurupms.app. Cancellation takes effect at the end of the current billing period; you will retain access to the Service until that date.

No refunds. Subscription fees already paid are non-refundable. Cancelling stops the next billing cycle but does not generate a refund or proration of fees already charged.

7. Your Data

You retain ownership of all data that you and your guests input into the Service ("Tenant Data"). We process Tenant Data on your behalf as a data processor in accordance with our Privacy Policy, the Tanzania Personal Data Protection Act 2022, and the GDPR where applicable.

You are responsible for the lawfulness of the data you collect from your guests and for obtaining any consents required by applicable law (for example, for marketing emails).

Upon cancellation, ZRA-required fiscal records (receipts, tax submissions) are retained for five (5) years in line with Tanzanian tax record-keeping requirements. All other Tenant Data is deleted within 90 days of subscription end unless you request earlier deletion or extended retention in writing.

8. ZRA Fiscal Compliance

The Service connects to the ZRA VFMS to issue fiscal receipts on your behalf. You acknowledge that:

9. Acceptable Use

You agree not to: (a) use the Service to violate any law; (b) reverse-engineer, decompile, or attempt to extract source code; (c) circumvent rate limits, access controls, or multi-tenancy isolation; (d) submit false fiscal data; (e) probe, scan, or test the vulnerability of any part of the Service without our prior written consent; (f) resell or sublicense the Service to third parties without an express written reseller agreement.

10. Service Availability

We aim for 99.9% uptime measured monthly, excluding scheduled maintenance, force majeure, and outages of upstream providers (notably ZRA VFMS, our datacenter, payment processors, and OTA partners). Where the ZRA VFMS is unavailable, the Service continues to operate locally and queues fiscal traffic for delivery when ZRA recovers.

We do not provide a financial SLA on the trial plans. Paid plans may include service credits as set out in the relevant plan terms or in a written enterprise agreement.

11. Intellectual Property

The Service, the UhuruPMS brand, and all related software, designs, and documentation are owned by Zanziholics and are protected by Tanzania, Zanzibar, and international intellectual property law. We grant you a non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term, solely for your own internal business operations.

12. Third-Party Services

The Service integrates with third-party services including ZRA VFMS, Pesapal, DPO, Stripe, Cloudbeds, Booking.com, Expedia Rapid, Google Analytics, Sentry, and others as documented in our Privacy Policy. Your use of those services is subject to their own terms and privacy policies, and we are not responsible for their performance or availability.

13. Limitation of Liability

To the maximum extent permitted by law, Zanziholics is not liable for indirect, incidental, special, consequential, or exemplary damages — including loss of profits, revenue, goodwill, or data — arising from your use of the Service. Our aggregate liability to you for direct damages is capped at the amount you have paid us in the twelve (12) months preceding the claim, or USD 500, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable Zanzibar or Tanzanian law (including for fraud, gross negligence, or wilful misconduct).

14. Indemnification

You agree to indemnify and hold harmless Zanziholics, its directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your violation of any law, (c) the content or accuracy of data you submit to the Service, or (d) infringement of third-party rights through your use of the Service.

15. Termination by Us

We may suspend or terminate your access if you breach these Terms, if your account is more than 30 days past due, if we are required to do so by law, or if continued operation of your account creates a material risk to other tenants or to the integrity of the Service. Where reasonable, we will provide notice and an opportunity to cure.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to your registered account email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Zanzibar, United Republic of Tanzania. Any dispute that cannot be resolved amicably between the parties shall be subject to the exclusive jurisdiction of the courts of Zanzibar.
